Terms of Service

1. Acceptance of Terms

By accessing or using StoreStrat.ai ("Service"), operated by StoreStrat.ai LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

StoreStrat.ai is an AI-powered revenue intelligence platform that connects to third-party commerce platforms — including Shopify, Commerce7, WooCommerce, and BigCommerce — to analyze store data and provide revenue optimization strategies. The Service includes automated email campaigns (abandoned cart recovery, customer winback, reorder reminders, post-purchase upsells, browse abandonment, and wine club retention), an AI-powered campaign builder, revenue forecasting, discount optimization, customer scoring and segmentation, and analytics dashboards.

3. Account Registration

You must register an account using Google Sign-In or Microsoft authentication. You are responsible for maintaining the confidentiality of your account and all activities that occur under it. You must provide accurate, current, and complete information. You must be at least 18 years old to use the Service.

4. Plans, Pricing, and Billing

StoreStrat.ai offers four subscription tiers:

• Free ($0/month) — Up to 500 customers, default campaigns and analytics, community support.
• Growth ($89/month or $69/month billed annually) — Up to 1,000 customers, AI Campaign Builder, revenue forecasting, priority email support.
• Pro ($149/month or $124/month billed annually) — Up to 5,000 customers, everything in Growth plus advanced revenue modeling, discount optimizer, dedicated strategy reviews, and priority phone and chat support.
• Enterprise (Custom pricing) — Unlimited customers, everything in Pro plus custom AI model tuning, dedicated account manager, SLA and uptime guarantees, and custom integrations. Contact sales for pricing.

You may upgrade, downgrade, or cancel at any time. Cancellation takes effect at the end of the current billing period. We reserve the right to change pricing with 30 days' notice. Annual subscriptions that are cancelled will not be prorated unless required by applicable law.

5. Platform Connections and Data Access

By connecting your commerce platform (Shopify, Commerce7, WooCommerce, or BigCommerce), you authorize StoreStrat.ai to access, retrieve, and analyze your store data — including orders, customers, products, carts, and analytics — via secure API connections. Connection methods vary by platform:

• Commerce7 — App ID, App Secret, and Tenant Slug
• Shopify — Shop Domain and Access Token
• WooCommerce — Site URL, Consumer Key, and Consumer Secret
• BigCommerce — Store Hash and API Access Token

Platform credentials are encrypted at rest using AES-256 encryption. We do not sell your data to third parties. Your data is processed in accordance with our Privacy Policy.

6. AI Services and BYOK Configuration

StoreStrat.ai uses artificial intelligence to generate campaign email content, customer scoring (CLV, churn risk, engagement), revenue forecasts, discount optimization recommendations, and campaign configurations via the AI Campaign Builder.

The Service operates on a Bring Your Own Key (BYOK) model for AI providers. You must provide your own API key from a supported provider (OpenAI, Anthropic Claude, Google Gemini, or xAI Grok). Your API key is encrypted at rest and used solely to process requests on your behalf. You are responsible for any costs incurred with your AI provider. You may set a monthly spend cap within StoreStrat.ai to control AI usage costs.

AI-generated content is provided as suggestions and should be reviewed before deployment. We do not guarantee the accuracy, completeness, or effectiveness of AI-generated output. You are responsible for reviewing and approving all content before it reaches your customers.

7. Email Campaigns

StoreStrat.ai sends automated email campaigns on your behalf to your customers. Campaign types include abandoned checkout recovery, customer winback, reorder reminders, post-purchase upsell, browse abandonment, and wine club retention. You are responsible for ensuring that your email practices comply with applicable laws, including CAN-SPAM, GDPR, and CASL. You represent and warrant that you have obtained appropriate consent from your customers to receive marketing communications. StoreStrat.ai provides campaign management tools but does not assume liability for your email compliance obligations.

8. No Revenue Guarantees

StoreStrat.ai provides tools and AI-driven strategies designed to optimize revenue. We do not guarantee specific revenue outcomes, conversion rates, or business results. Performance metrics displayed in the dashboard — including revenue recovered, forecasts, CLV scores, churn risk assessments, and discount recommendations — are estimates based on available data and attribution models. Performance depends on many factors outside our control, including your products, market conditions, and customer behavior.

9. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to reverse engineer or extract source code; (c) interfere with or disrupt the Service; (d) use the Service to send unsolicited or spam communications; (e) exceed reasonable usage limits or abuse API connections; (f) attempt to access another tenant's data; (g) use the AI Campaign Builder to generate content that is deceptive, harassing, or violates applicable law.

10. Intellectual Property

All rights, title, and interest in the Service, including software, algorithms, AI models, designs, and documentation, remain the exclusive property of StoreStrat.ai LLC. Your subscription grants a limited, non-exclusive, non-transferable license to use the Service during your subscription term. AI-generated campaign content created using your data and API key is yours to use.

11. Limitation of Liability

To the maximum extent permitted by law, StoreStrat.ai LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. This includes but is not limited to damages arising from: AI-generated content, email campaign performance, revenue forecasts or estimates, platform connection failures, or third-party AI provider outages. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Termination

We may suspend or terminate your access if you violate these Terms. Upon termination, your right to use the Service ceases immediately. You may request export of your data within 30 days of termination. After 30 days, your data — including customer records, campaign history, and analytics — will be permanently deleted.

13. Third-Party Services

StoreStrat.ai integrates with third-party services including commerce platforms (Shopify, Commerce7, WooCommerce, BigCommerce), AI providers (OpenAI, Anthropic, Google, xAI), and email delivery services (SendGrid). We are not responsible for the availability, accuracy, or policies of these third-party services. Your use of connected platforms is subject to their respective terms of service.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Collin County, Texas.
